GRAND RESERVE REWARD PROGRAM RULES

Effective June 1, 2020

These Grand Reserve™ Reward Program Rules (“Rules”) describe how the Grand Reserve Reward Program (“Grand Reserve Rewards”) works. These Rules are an agreement between you and Vertical Finance, Inc. (“Vertical Finance”), together with the Grand Reserve Terms of Use.

Transaction Information

As part of Grand Reserve Rewards, if you have been approved for a Grand Reserve co-branded credit card product (“Grand Reserve Card”), we will have access to your transaction-related information from purchases you make with the Grand Reserve Card, but we will not get your bank account number or other bank account details. If you connect another US-issued credit card to our platform, we will also retrieve your transaction-related information from third parties with your permission, but we will not get your bank account or credit card number, or your bank account details. We will generally use transaction-related information to administer Grand Reserve Rewards, including calculating your points. Grand Reserve Rewards

1. ELIGIBILITY

In order to participate in Grand Reserve Rewards, you will need to be an eligible Grand Reserve user and a Grand Reserve Rewards accountholder in good standing. You will also need to provide the information we request, such as a verified email address and phone number, and either connect one or more US-issued credit cards or be approved for a Grand Reserve Card account in order to earn points through a Grand Reserve Card. Please see below information on how to earn points through a Grand Reserve Card or through another connected credit card.

We reserve the right to determine at our sole discretion whether you are eligible to participate in Grand Reserve Rewards. You agree to provide accurate and complete information. If at any time you believe that your registration or reward account information, device that you use to access Grand Reserve Rewards, or Grand Reserve Card has been lost or stolen, or that someone is using your reward account or Grand Reserve Card without your permission, please notify us immediately at hello@grandreservecard.com.

2. EARNING GRAND RESERVE REWARD POINTS

By participating in Grand Reserve Rewards, you may have the opportunity to earn Grand Reserve Reward points (“points”). You can earn points from purchases with a Grand Reserve Card or with another US-issued credit card that you connect to our platform. There may also be other ways to earn points with no purchases required, such as bonus opportunities, promotions and other user activities. We will provide information about the number of bonus points you can earn and any other terms at the time of the offer. The additional terms will be part of this agreement.

We maintain the right to review the accrual of points and determine in our sole discretion whether transactions meet the qualifications for points. Points have no cash, monetary or other value and cannot be converted into any currency. We may change the earning structure of Grand Reserve Rewards at any time without notice to you.

Earning Points through your Grand Reserve Card

The Grand Reserve Card is issued and managed by third parties. For information on how your Grand Reserve Card earns points, please review the rewards information provided with your Grand Reserve Card.

Earning Points through Another Connected Credit Card

You can earn a base level of one point per dollar from transactions that you make with wine-related merchants and establishments (but not from purchases of wine-related products from non-wine-related merchants). Only purchases through cards linked to your Grand Reserve Reward account will qualify for points and only if these cards are connected to your Grand Reserve Reward account at the time of purchase. No alcohol must be purchased to earn Grand Reserve Reward points. We reserve the right to define what is and is not a wine-related merchant or establishment and to change which merchants qualify from time to time without notice to you. If you feel a merchant has been misclassified, you may send a request to hello@grandreservecard.com, and we will review and make a final decision.

If for any reason your card becomes unlinked, disconnected or otherwise unable to be accessed by your Grand Reserve reward account, you will not be able to accrue points. Points are awarded when the transaction is settled and posted we receive information regarding the transaction from your linked credit card. It may take many days for a transaction to be posted and we do not control the posting of transactions made with your linked credit cards.

You may not link a single credit card account to our platform more than once. A card that is held jointly by more than one person may only be linked to our platform once at any time. We reserve the right to disconnect cards connected more than once, and to suspend your account or disqualify your points if you attempt to connect a card more than once. In addition, you cannot link a Grand Reserve Card to our platform in this manner and earn “double points” for a single purchase.

3. REDEEMING REWARDS

Points are redeemable for certain discounts and other rewards through the Grand Reserve online reward catalog. We do not maintain any licenses for the sale of alcoholic beverages and as such, the online reward catalog does not offer wine for sale nor permit points to be redeemed for free wine or other free goods in connection with wine. Our catalog is subject to change at any time, and rewards from merchants are subject to availability and any additional terms that are set by the merchants or us. In the case of any dispute between you and a merchant for any reason, you may make a claim directly with the merchant and agree that we are not responsible for any such claim.

4. REFUNDS AND CANCELLATIONS

We may deduct points that have accrued in your account, including in cases where you refund, cancel or dispute a transaction. If after you redeem a reward, you submit a request to hello@grandreservecard.com to cancel the reward before fulfillment of the reward has started, we will credit your account with the points you used to redeem the reward. Once a reward has been redeemed and we or the merchant begin fulfillment of the reward, no changes, refunds or return of points are permitted. As the fulfillment process for each reward is different, we reserve the right to determine when the fulfillment of a reward has started. If a redeemed reward is unable to be fulfilled, our Customer Support team will notify you that your order is unable to be processed, and we will credit your account with the points you used to redeem the reward.

5. YOUR ACCOUNT

Your points will not expire as long as your Grand Reserve Reward account is valid and active. Please see the above section on “Earning Grand Reserve Reward Points.” To maintain a valid account, you must continue to be an eligible user in good standing. To maintain an active account, you must log in to your account or incur a change in your points balance at least once in the prior 12-month period. If you have a Grand Reserve Card, your account will remain active as long as your card account is active, regardless of your point earnings. If your account becomes invalid or inactive, your ability to earn and use points will be suspended. If your account does not become valid or active again within 90 days, your account will be closed, and any unredeemed points will be forfeited.

6. OTHER BENEFITS

In addition to earning points, as part of Grand Reserve Rewards, you may be eligible for other benefits, like membership in our private user groups, invitations to special events, or other discounts or rewards, which may be subject to availability and other terms.

7. MISSING POINTS

If you currently have an active and valid account, you may submit a claim to hello@grandreservecard.com for missing or incorrectly calculated points from credit card transactions that are not older than 90 days. If after review by our Customer Support team we determine that your account is eligible for an adjustment in points, we will reprocess the point accrual for the transaction.

Cancellation, Termination or Suspension

You may close your Grand Reserve Reward account by contacting us at hello@grandreservecard.com. All unredeemed points will be forfeited when you close your account.

We may terminate the Grand Reserve Reward account (with or without notice) of any individual we suspect to be interfering with Grand Reserve Rewards, engaging in any conduct that is detrimental or unfair to us or our program partners, or acting in violation of these Rules, the Terms of Use or other rules or policies shown on our website. This includes:

  1. Violating applicable law,
  2. Abusing Grand Reserve Rewards,
  3. Trying to circumvent any of these Rules,
  4. Submitting false information or conducting other fraudulent activity,
  5. Creating multiple accounts,
  6. Using Grand Reserve Rewards for a commercial or business purpose or on behalf of any third party,
  7. Failing to pay merchants amounts due, or
  8. Violating the terms of your cardholder agreement for Grand Reserve Card users.

We reserve the right to disqualify from Grand Reserve Rewards anyone who has been disqualified for misconduct from any other Grand Reserve or Vertical Finance promotion or program, or from a promotion or program of any of our business partners or affiliates. In such cases, any unredeemed points will be forfeited. In the event of death, your points will be forfeited. If we determine that it is necessary to suspend your account for any reason, we may do this without notice to you.

If in our reasonable judgment it becomes commercially necessary for us to change or terminate Grand Reserve Rewards, associated points, or any rewards or other benefits made available through Grand Reserve Rewards, we may do so without any obligation or liability.

Separate Limit of Liability

THE FOLLOWING PROVISION SHALL APPLY TO GRAND RESERVE REWARDS INSTEAD OF THE LIMITATION OF LIABILITY SHOWN IN THE MAIN TERMS OF USE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTICAL FINANCE SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THESE RULES, HOWEVER CAUSED, AND UNDER WHATEVER CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF VERTICAL FINANCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VERTICAL FINANCE’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED $10.00.
